IMPORTANT: BY USING YOUR HIDEEZ HARDWARE PRODUCT YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THE HIDEEZ ONE (1) YEAR LIMITED WARRANTY (“WARRANTY”) AS SET OUT BELOW. DO NOT USE YOUR PRODUCT UNTIL YOU HAVE READ THE TERMS OF THE WARRANTY. IF YOU DO NOT AGREE TO THE TERMS OF THE WARRANTY, DO NOT USE THE PRODUCT AND RETURN IT TO THE AUTHORIZED DISTRIBUTOR OF HIDEEZ PRODUCTS FROM WHOM YOU PURCHASED IT FOR A REFUND.
WARRANTY LIMITATIONS SUBJECT TO CONSUMER LAW
TO THE EXTENT PERMITTED BY LAW, THIS WARRANTY AND THE REMEDIES SET FORTH ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, REMEDIES AND CONDITIONS, WHETHER ORAL, WRITTEN, STATUTORY, EXPRESS OR IMPLIED. HIDEEZ DISCLAIMS ALL STATUTORY AND IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES AGAINST HIDDEN OR LATENT DEFECTS, TO THE EXTENT PERMITTED BY LAW. IN SO FAR AS SUCH WARRANTIES CANNOT BE DISCLAIMED, HIDEEZ LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE DURATION OF THIS EXPRESS WARRANTY AND, AT HIDEEZ'S OPTION, THE REPAIR OR REPLACEMENT SERVICES DESCRIBED BELOW. SOME STATES (COUNTRIES AND PROVINCES) DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY (OR CONDITION) MAY LAST, SO THE LIMITATION DESCRIBED ABOVE MAY NOT APPLY TO YOU.
WHAT IS COVERED BY THIS WARRANTY?
Hideez Group Inc, 541 Jefferson Avenue, Suite 100, Redwood City, CA 94063 (“HIDEEZ”) warrants the HIDEEZ-branded hardware product and HIDEEZ-branded accessories contained in the original packaging (“HIDEEZ Product”) against defects in materials and workmanship when used normally in accordance with HIDEEZ's published guidelines for a period of ONE (1) YEAR from the date of original retail purchase by the end-user purchaser ("Warranty Period"). HIDEEZ’s published guidelines include but are not limited to information contained in technical specifications, user manuals and service communications.
WHAT IS NOT COVERED BY THIS WARRANTY?
This Warranty does not apply to any non-HIDEEZ branded hardware products or any software, even if packaged or sold with HIDEEZ hardware. This does not affect your rights under applicable consumer law. Manufacturers, suppliers, or publishers, other than HIDEEZ, may provide their own warranties to you — please contact them for further information. Software distributed by HIDEEZ with or without the HIDEEZ brand (including, but not limited to system software) is not covered by this Warranty. Please refer to the licensing agreement accompanying the software for details of your rights with respect to its use. HIDEEZ does not warrant that the operation of the HIDEEZ Product will be uninterrupted or error-free. HIDEEZ is not responsible for damage arising from failure to follow instructions relating to the HIDEEZ Product’s use.
This Warranty does not apply:
(a) to consumable parts, such as batteries or protective coatings that are designed to diminish over time, unless failure has occurred due to a defect in materials or workmanship;
(b) to cosmetic damage, including but not limited to scratches, dents and broken plastic on ports unless failure has occurred due to a defect in materials or workmanship;
(c) to damage caused by use with a third party component or product that does not meet the HIDEEZ Product’s specifications (HIDEEZ Product specifications are available at www.HIDEEZ.com under the technical specifications for each product and also available in stores);
(d) to damage caused by accident, abuse, misuse, fire, earthquake or other external cause;
(e) to damage caused by operating the HIDEEZ Product outside HIDEEZ’s published guidelines;
(f) to damage caused by service (including upgrades and expansions) performed by anyone who is not a representative of HIDEEZ or a HIDEEZ Authorized Service Provider (“HASP”);
to a HIDEEZ Product that has been modified to alter functionality or capability without the written permission of HIDEEZ;
(h) to defects caused by normal wear and tear or otherwise due to the normal aging of the HIDEEZ Product,
(i) if any serial number has been removed or defaced from the HIDEEZ Product, or
(j) if HIDEEZ receives information from relevant public authorities that the product has been stolen or if you are unable to deactivate passcode-enabled or other security measures designed to prevent unauthorized access to the HIDEEZ Product, and you cannot prove in any way that you are the authorized user of the product (eg. by presenting proof of purchase).
HIDEEZ may restrict warranty service for hardware products to the country where HIDEEZ or its Authorized Distributors originally sold the device.
YOU SHOULD MAKE PERIODIC BACKUP COPIES OF THE INFORMATION CONTAINED ON THE HIDEEZ PRODUCT STORAGE MEDIA TO PROTECT THE CONTENTS AND AS A PRECAUTION AGAINST POSSIBLE OPERATIONAL FAILURES.
Before receiving warranty service, HIDEEZ or its agents may require that you furnish proof of purchase details, respond to questions designed to assist with diagnosing potential issues and follow HIDEEZ's procedures for obtaining warranty service. Before submitting your HIDEEZ Product for warranty service you should maintain a separate backup copy of the contents of its storage media, remove all personal information that you want to protect and disable all security passwords.
DURING WARRANTY SERVICE THE CONTENTS OF THE STORAGE MEDIA WILL BE DELETED AND REFORMATTED. HIDEEZ AND ITS AGENTS ARE NOT RESPONSIBLE FOR ANY LOSS OF SOFTWARE PROGRAMS, DATA OR OTHER INFORMATION CONTAINED ON THE STORAGE MEDIA OR ANY OTHER PART OF THE HIDEEZ PRODUCT SERVICED.
Following warranty service your HIDEEZ Product or a replacement device will be returned to you as your HIDEEZ Product was configured when originally purchased, subject to applicable updates. HIDEEZ may install system software updates as part of warranty service that will prevent the HIDEEZ Product from reverting to an earlier version of the system software. Third party applications installed on the HIDEEZ Product may not be compatible or work with the HIDEEZ Product as a result of the system software update. You will be responsible for reinstalling all other software programs, data and information. Recovery and reinstallation of other software programs, data and information are not covered under this Warranty.
WHAT WILL HIDEEZ DO IN THE EVENT THE WARRANTY IS BREACHED?
If during the Warranty Period you submit a claim to HIDEEZ or its authorized distributor in accordance with this warranty, HIDEEZ will, at its option:
(i) repair the HIDEEZ Product using new or previously used parts that are equivalent to new in performance and reliability,
(ii) replace the HIDEEZ Product with the same model (or with your consent a product that has similar functionality) formed from new and/or previously used parts that are equivalent to new in performance and reliability, or
(iii) exchange the HIDEEZ Product for a refund of your purchase price.
HIDEEZ may request that you replace certain user-installable parts or HIDEEZ Products. A replacement part or HIDEEZ Product, including a user-installable part that has been installed in accordance with instructions provided by HIDEEZ, assumes the remaining term of the Warranty or ninety (90) days from the date of replacement or repair, whichever provides longer coverage for you. When a HIDEEZ Product or part is replaced or a refund provided, any replacement item becomes your property and the replaced or refunded item becomes HIDEEZ's property.
HOW TO OBTAIN WARRANTY SERVICE?
Please access and review the online help resources described below before seeking warranty service. If the HIDEEZ Product is still not functioning properly after making use of these resources, please contact a HIDEEZ representative or, if applicable, a HIDEEZ owned retail store ("HIDEEZ Retail") or HASP, using the information provided below. a HIDEEZ representative or HASP will help determine whether your HIDEEZ Product requires service and, if it does, will inform you how HIDEEZ will provide it. When contacting HIDEEZ via telephone, other charges may apply depending on your location.Online information with details on obtaining warranty service is provided below.
WARRANTY SERVICE OPTIONS
HIDEEZ will provide warranty service through one or more of the following options:
(i) Carry-in service. You may return your HIDEEZ Product to a HIDEEZ Retail or HASP location offering carry-in service. Service will be performed at the location, or HIDEEZ Retail or an HASP may send your HIDEEZ Product to a HIDEEZ Repair Service (“HRS”) location to be serviced. Once you are notified that service is complete, you will retrieve the HIDEEZ Product from the HIDEEZ Retail or HASP location without delay unless HIDEEZ notifies you that the HIDEEZ Product will be sent directly to your location from the HRS location.
(ii) Do-it-yourself (DIY) parts service. DIY parts service allows you to service your own HIDEEZ Product. If DIY parts service is available in the circumstances, the following process will apply.
(a) Service where HIDEEZ requires return of the replaced HIDEEZ Product or part. HIDEEZ may require a credit card authorization as security for the retail price of the replacement HIDEEZ Product or part and applicable shipping costs. If you are unable to provide credit card authorization, DIY parts service may not be available to you and HIDEEZ will offer alternative arrangements for service. HIDEEZ will ship a replacement HIDEEZ Product or part to you with installation instructions, if applicable, and any requirements for the return of the replaced HIDEEZ Product or part. If you follow the instructions, HIDEEZ will cancel the credit card authorization, so you will not be charged for the HIDEEZ Product or part and shipping to and from your location. If you fail to return the replaced HIDEEZ Product or part as instructed or return a replaced HIDEEZ Product or part that is ineligible for service, HIDEEZ will charge your credit card for the authorized amount.
(b) Service where HIDEEZ does not require return of the replaced HIDEEZ Product or part. HIDEEZ will ship you free of charge a replacement HIDEEZ Product or part accompanied by instructions on installation, if applicable, and any requirements for the disposal of the replaced HIDEEZ Product or part.
(c) HIDEEZ is not responsible for any labor costs you incur relating to DIY parts service. Should you require further assistance, contact HIDEEZ at the telephone number listed below.
HIDEEZ reserves the right to change the method by which HIDEEZ may provide warranty service to you, and your HIDEEZ Product’s eligibility to receive a particular method of service. Service will be limited to the options available in the country where service is requested. Service options, parts availability and response times may vary according to country. You may be responsible for shipping and handling charges if the HIDEEZ Product cannot be serviced in the country it is in. If you seek service in a country that is not the original country of purchase, you will comply with all applicable import and export laws and regulations and be responsible for all custom duties, V.A.T. and other associated taxes and charges. Where international service is available, HIDEEZ may repair or replace HIDEEZ Products and parts with comparable HIDEEZ Product and parts that comply with local standards.
LIMITATION OF LIABILITY
EXCEPT AS PROVIDED IN THIS WARRANTY AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIDEEZ IS NOT RESPONSIBLE FOR DIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM ANY BREACH OF WARRANTY OR CONDITION, OR UNDER ANY OTHER LEGAL THEORY, INCLUDING BUT NOT LIMITED TO LOSS OF USE; LOSS OF REVENUE; LOSS OF ACTUAL OR ANTICIPATED PROFITS (INCLUDING LOSS OF PROFITS ON CONTRACTS); LOSS OF THE USE OF MONEY; LOSS OF ANTICIPATED SAVINGS; LOSS OF BUSINESS; LOSS OF OPPORTUNITY; LOSS OF GOODWILL; LOSS OF REPUTATION; LOSS OF, DAMAGE TO, COMPROMISE OR CORRUPTION OF DATA; OR ANY INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE HOWSOEVER CAUSED INCLUDING THE REPLACEMENT OF EQUIPMENT AND PROPERTY, ANY COSTS OF RECOVERING, PROGRAMMING, OR REPRODUCING ANY PROGRAM OR DATA STORED IN OR USED WITH THE HIDEEZ PRODUCT OR ANY FAILURE TO MAINTAIN THE CONFIDENTIALITY OF INFORMATION STORED ON THE HIDEEZ PRODUCT.
THE FOREGOING LIMITATION SHALL NOT APPLY TO DEATH OR PERSONAL INJURY CLAIMS, OR ANY STATUTORY LIABILITY FOR INTENTIONAL AND GROSS NEGLIGENT ACTS AND/OR OMISSIONS. HIDEEZ DISCLAIMS ANY REPRESENTATION THAT IT WILL BE ABLE TO REPAIR ANY HIDEEZ DEVICE UNDER THIS WARRANTY OR REPLACE THE HIDEEZ PRODUCT WITHOUT RISK TO OR LOSS OF INFORMATION STORED IN THE HIDEEZ PRODUCT.
SOME COUNTRIES (STATES AND PROVINCES) DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
No HIDEEZ reseller, agent, or employee is authorized to make any modification, extension, or addition to this Warranty. If any term is held to be illegal or unenforceable, the legality or enforceability of the remaining terms shall not be affected or impaired. This Warranty is governed by and construed under the laws of the country in which the HIDEEZ Product purchase took place. HIDEEZ or its successor in title is the warrantor under this Warranty.
"Application"means any application or other resource that sends data to the Service. Each Application must be under Your control. "Customer Data"means the data You collect, process or store using the Service concerning the characteristics and activities of Users. "Eligibility" means that You may only use the Services if you are over 13 years old.
"Services" means all the services provided by Hideez via the Mobile Application to Users, and "Service" means any one of them, "Third Party"means any third party to which You provide access to Your Account or for which You use the Service to collect information on the third party's behalf.
"Users" means users of the Mobile Application, including you and "User" means any one of them.
2. NONEXCLUSIVE LICENSE
2.1. Subject to the terms and conditions of this Agreement, Hideez grants You a limited, revocable, non-exclusive, non-sublicensable license only in the manner presented by Hideez to install, copy and use the Application solely as necessary for You to use the Service on Your Applications or Third Parties Applications.
2.2. Except to the extent required by law or as expressly provided herein, none of the Content and/or Information may be reverse-engineered, modified, reproduced, republished, translated into any language or computer language, re-transmitted in any form or by any means, resold or redistributed without the prior written consent of Hideez. You may not make, sell, offer for sale, modify, reproduce, display, publicly perform, import, distribute, retransmit or otherwise use the Content of the Application in any way, unless expressly permitted to do so by Hideez.
3. DESCRIPTION OF SERVICES
3.1. Hideez saves only User's login, which you specify at registration. The Application can provide us with data related to the loading, use and operation of the Applications, as well as information related to the use of the Application. As a result of using the Application, Hideez can obtain information about the type of device, the network connection, the location of the device on which the Application is running, information about the application launch date, the duration of the application's usage sessions, or the causes of the failure in the Application.
3.2. Registered users may save Logins, Passwords and other sensitive data that we do not have access to. Registered users also may submit, upload the location of a photo or video, audio, the date a file to their key.
3.3. You are responsible for maintaining the security of your Passwords and other sensitive data. Hideez has no knowledge of your Passwords and other sensitive data and will not ask or be permitted to ask for it. Hideez, will not under any circumstances, have access to your Passwords and other sensitive data or the records stored in your key.
3.4. You agree to not issue your Passwords and other sensitive data to any third parties and shall not, under any circumstances, issue your Passwords and other sensitive data to any customer support representative of Hideez in the event you contact us.
4. ACCOUNT, PASSWORD AND SECURITY
4.1. To register for the Service, You complete the registration process by providing Hideez with current, complete and accurate information as prompted by the registration form, including Your e-mail address (username) and password. You will protect Your passwords and take full responsibility for Your own, and third party, use of Your accounts.
4.3. You will remain responsible for all use of your username and password, and all activity emanating from your account, whether or not such activity was authorized by you.
4.4. If your username or password is lost or stolen, or if you believe that your account has been accessed by unauthorized third parties, you are advised to notify us in writing, and should change your password at the earliest possible opportunity.
4.5. Please notify Customer Support immediately if you become aware of any unauthorized use of your account. You may not (a) Share your account information (except with an authorized account administrator) or (b) use another person’s account. Your account administrator may use your account information to manage your use and access to the Services.
4.6. Hideez cannot and does not review the information created or uploaded by its users. We will only access to your account in limited ways. For example, in order to perform the Services, we may need to access to (a) respond to support requests; (b) detect, prevent, or otherwise address fraud, security, unlawful, or technical issues; and (c) enforce these terms.
5.1. You agree to (and shall) abide by these terms, as may be amended from time to time.
5.2. You agree to receive pre-programmed notifications.
5.3. You warrant that all information provided on Registration and contained as part of your Account is true, complete and accurate.
5.4. Prohibitions in relation to usage of Services or Application are:
- to save any material for which you have not obtained all necessary licenses and/or approvals (from us or third parties); or which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party in any country in the world;
- to save any material which is technically harmful (including computer viruses or harmful data);
- to use Application for any fraudulent purpose;
- to use Application for other than in conformance with accepted Internet practices and practices of any connected networks;
- to furnish false data including false names, addresses and contact details;
- to attempt to circumvent our security or network including to access data not intended for you, log into a server or account you are not expressly authorized to access, or probe the security of other networks;
- to extract data from or hack into the Application;
- to engage in any conduct which, in our exclusive reasonable opinion, restricts or inhibits any other customer from properly using or enjoying the Application or Services.
6. INTELLECTUAL PROPERTY RIGHTS
6.1. Intellectual property rights on the Application belong to Hideez. The Content of the Application is protected by copyright and other laws in both the United States and other countries.
6.2. Logins, Passwords and any other types of Credentials and other information which You save, submit or upload is generated, owned and controlled solely by you.
6.3. Hideez does not claim any ownership rights in Your information, and you hereby expressly acknowledge and agree that Your information remains your sole responsibility. Without prejudice to the conditions set forth in Your Use you must not upload, store, distribute, send, transmit, display, perform, make available any information to which you do not hold the necessary rights.
7.2. If we suspend the Services or Application, we may refuse to restore the Services or Application for your use until we receive an assurance from you, in a form we deem acceptable, that there will be no further breach of the provisions of these Terms and Conditions of Use.
7.3. You hereby agree to indemnify, defend and hold harmless Hideez from and against any and all claims, obligations, damages, losses, expenses, and costs, including reasonable attorneys' fees, resulting from:
- any third-party claim of infringement of copyright or other intellectual property rights or invasion of privacy arising from the Your blame;
- any activity related to your account, be it by you or by any other person accessing your account with or without your consent unless such activity was caused by the act or default of Hideez.
7.4. We shall not be liable for any acts or omissions of any third parties howsoever caused, and for any direct, indirect, incidental, special, consequential or punitive damages, howsoever caused, resulting from or in connection with the mobile application and the services offered in the mobile application, your access to, use of or inability to use the mobile application or the services offered in the mobile application, reliance on or downloading from the mobile application and/or services, or any delays, inaccuracies in the information or in its transmission including but not limited to damages for loss of business or profits, use, data or other intangible, even if we have been advised of the possibility of such damages.
7.5. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer that cannot be excluded or limited are affected.
8. THIRD PARTIES
8.1. If You use the Service on behalf of a Third Party or a Third Party otherwise uses the Service through Your Account, whether or not You are authorized by Hideez to do so, then You represent and warrant that (a) You are authorized to act on behalf of, and bind to this Agreement, the Third Party to all obligations that You have under this Agreement, (b) You will not disclose Third Party's Data to any other party without the Third Party's consent.
9. ASSIGNMENT TO THIRD PARTIES
9.1. Hideez may assign its rights and (where permissible by law) its obligations under this Agreement, in whole or in part, to any third party at any time without notice, including without limitation, to any person or entity acquiring all or substantially all of the assets or business of Hideez. You may not assign this Agreement or the rights and duties hereunder, in whole or in part, to any third party without the prior written consent of Hideez.
11.1. Neither party will use or disclose the other party's Confidential Information without the other's prior written consent except for the purpose of performing its obligations under this Agreement or if required by law, regulation or court order; in which case, the party being compelled to disclose Confidential Information will give the other party as much notice as is reasonably practicable prior to disclosing the Confidential Information if permitted by law.
12. APPLICABLE LAW AND LANGUAGE
12.1. The Terms are governed by and construed by the laws of the State of Delaware in the United States.
13. DISPUTE RESOLUTION
13.1. The parties agree that any disputes between Hideez and you concerning these Terms may only brought in a federal or state court of competent jurisdiction.
14.1. We may periodically make changes to the contents of the Application at any time and without notice. We assume no liability or responsibility for any errors or omissions in the content of the Application.
15. TERM AND TERMINATION
15.1. Either party may terminate this Agreement at any time with notice. Upon any termination of this Agreement, Hideez will stop providing, and You will stop using the Service.

Your personal data may include for example your name, your contact details, or information on how you use our app or you interact with us.
- Your name and surname and your contact details (email address, telephone number and postal address)- when you create an account on us for registration in the Hideez system.
- Passwords, password hints, and similar security information used for authentication and account access.
- Information, such as the location of a photo or video, audio, the date a file was created.
- Location-related information: We use location-related information-such as your current location, where you live, the places you like to go, and the businesses and people you're near-to provide, personalize and improve our Products, including ads, for you and others. Location-related information can be based on things like precise device location (if you've allowed us to collect it), IP addresses, and information from your photo or video, audio.
- The communications you exchange with us (for example, your emails, letters, calls, or your messages on our online chat service, your feedback).
- Web analytics. Web analytics is the term given to a method for collecting and assessing the behavior of visitors to websites and (mobile) applications. This includes the analysis of traffic patterns in order, for example, to determine the frequency of visits to certain parts of a website or (mobile) application, or to find out what information and services our visitors are most interested in. For these purposes, we primarily make use of click-stream data and the other techniques listed above. Web analytics are carried out by Google Analytics and/or other selected parties.
- Information about how you use our app and when you use our mobile app. This data collected by automated means. Various technologies may be used on our mobile and web-based applications in order to make them more user-friendly, effective and secure. Such technologies may lead to data being collected automatically by us or by third parties on behalf of us. This data does not generally, but may, contain a user’s personal data. Examples of such technologies include click-stream data. A visit to one of our websites results in data that is transmitted from your browser to our server being automatically collected and stored by us or by third parties on behalf of us. This data can include, in particular, the following:
- information about your ID;
- the visitor’s IP address;
- the date and time of the visit;
- the referral URL (the site from which the visitor has come);
- the pages visited on our website;
- information about the browser used (browser type and version, operating system, etc.).
To restore your account in case of lossIn case you lost your information about your account that you created when registering in the Hideez system, we may use your personal data. We need your e-mail address and (optionally) telephone number so that we may contact you if we have questions or information for you.
To communicate with you and manage our relationship with youOccasionally we may need to contact you by email for administrative or operational reasons, we may also send you app notifications for these purposes. Please be aware that these communications are not made for marketing purposes.
Your opinion is very important to us, so we may send you an email to seek your feedback.
We will use the communications you exchange with us and the feedback you may provide in order to manage our relationship with you and to improve our services and experiences.
If you have contacted us with any complaints, feedback, comments, suggestions, we will use and disclose your personal data (including your contact history) to respond to you and provide you with the best service possible. If you are the complainant and you do not want us to disclose your identity to the party you are complaining about, you must let us know immediately. However, it may not always be possible to handle your complaint on the basis of anonymity.
When using your personal data to contact you for the above purposes, we may contact you via regular mail, fax, e-mail, SMS, telephone or any other electronic means.
If we need to use your personal data for any other purposes, we will notify you and obtain your consent beforehand. You will be given the opportunity to withhold or withdraw your consent for the use of your personal data for these other purposes.
We don’t use the data we collect for advertising, promotional communications or service personalization. It means that we do not share your contact details and other personal data with other companies for marketing purposes, unless we have obtained your consent to do so.
We use the necessary organizational and technical means to protect personal data from loss, unauthorized use, unauthorized or illegal access, disclosure, alteration and violation of integrity.
We are committed to taking appropriate technical and organizational measures to protect your personal data against unauthorized or unlawful processing and against accidental loss, destruction or damage to personal data.
